Agreement

These Terms govern your engagement with Automat for AI agent memory infrastructure and related services.

Services We provide custom design, build, deployment, and optimization of secure memory systems (RAG, knowledge bases, vector stores, agent memory layers) and associated consulting.

Client Responsibilities You agree to provide accurate data, timely feedback, and necessary access to systems/tools required for the project.

Intellectual Property

  • All deliverables (custom memory architecture, code, configurations) become your property upon full payment.

  • We retain rights to our pre-existing tools, frameworks, and methodologies.

  • You grant us a limited license to use your data solely to deliver the services.

Fees & Payment

  • Payment terms are outlined in your proposal/invoice.

  • Late payments may incur 1.5% monthly interest.

  • All fees are non-refundable except as expressly stated in a separate agreement.

Confidentiality Both parties agree to keep all non-public information confidential.

Warranties & Limitations AI systems are probabilistic by nature. We warrant that our memory infrastructure will be built with industry-leading standards for accuracy and security, but we cannot guarantee 100% error-free performance (e.g., hallucinations). Results depend on the quality of your data and usage.

Liability Our total liability shall not exceed the fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

Termination Either party may terminate for material breach. Upon termination, you will be invoiced for work completed.

Governing Law These Terms are governed by the laws of [Your Jurisdiction, e.g., Delaware, USA].
